A U.S. cannabis company is looking to acquire Aurora Cannabis Inc., which is based in Edmonton. Aurora has formed a special committee to review the bid from Curaleaf Holdings Inc. The potential acquisition would result in a combined cannabis entity operating in 17 countries worldwide. Curaleaf, based in Stamford, Conn., has publicly disclosed its plan after unsuccessful private negotiations with Aurora’s leadership. Despite sending formal letters of intent on June 23 and July 7, Aurora’s board has not engaged in meaningful discussions according to Curaleaf.

Curaleaf has proposed paying Aurora shareholders $4 US per share, in addition to $0.75 US cash for each Aurora share. Aurora confirmed receiving the letters from Curaleaf but denied the claim that it refused to engage with the offer. The Canadian cannabis company stated that ongoing communication with Curaleaf’s CEO was maintained until July 24, focusing on executing its business plans in the short to medium term.

Aurora will establish a special committee of independent directors to evaluate the proposal’s alignment with stakeholders’ interests. It cautions that a deal is not guaranteed, and business operations will continue uninterrupted. While acknowledging Curaleaf’s interest, TD Cowen analysts believe the current offer undervalues Aurora’s long-term potential. They highlight Aurora’s market leadership, product portfolio, financial strength, and regulatory expertise as factors that could create more significant value over time.

According to Curaleaf, merging the companies would leverage Curaleaf’s global distribution network with Aurora’s strong international medical cannabis presence. The combined revenue of both companies exceeded $1.5 billion US in the last year, with anticipated annual cost synergies of at least $40 million US. Curaleaf sees the merger as a mutually beneficial opportunity for shareholders to participate in a diversified global platform and capitalize on U.S. regulatory trends.
